Part A — Website terms of use

A1. Who we are

This website (gwpingenuity.com) is operated by [LEGAL ENTITY] ("GWP", "we"). By using the site you agree to these terms of use.

A2. Use of the site

The site and its content are provided for general information about the GWP service. You may browse the site and share links to it. You may not scrape it at scale, attempt to disrupt it, misrepresent your identity when submitting forms, or use content from the site to pass yourself off as GWP.

A3. Intellectual property

All content on this site — text, graphics, logos and code — belongs to GWP or its licensors. Retailer and advertiser logos shown on the site belong to their respective owners and appear to illustrate partnerships.

A4. No reliance

Content on this site is not an offer capable of acceptance and does not form part of any contract. Figures shown (for example illustrative dashboards and modelled results) are examples, not promises of performance. The commercial relationship between GWP and any partner is governed exclusively by the agreement that partner signs.

Part B — Summary of host commercial terms

This Part B summarises the standard terms on which host retailers run the GWP unit. It is a plain-English summary for convenience: the signed host agreement or insertion order always prevails over this summary.

B1. Revenue share

The host keeps 65% of every advertiser commission attributed to its store; GWP retains 35%. The split may vary per host where agreed in the host agreement.

B2. Conversion lifecycle and adjustments

A conversion is created when an advertiser confirms a qualifying action against a click-identifier. Conversions start as pending and become validated after a hold window during which the advertiser may reverse them (for example, for refunds or cancelled orders). Reversed or refunded conversions are netted off before payout: they reduce the next statement, and hosts are never invoiced back for commission already paid.

B3. Payment

Validated commission is paid monthly by bank transfer to the account details the host provides in the dashboard.

B4. Availability

GWP provides the service on commercially reasonable efforts, with automated uptime monitoring on every install. The widget is designed to fail silent: if the service is unavailable, the unit simply does not render and the host's pages are unaffected. No numeric service level is offered under standard terms.

B5. Snippet licence

GWP grants each host a limited, non-exclusive, non-transferable, revocable licence to embed the GWP script snippet on the pages agreed for that host (typically basket and order-confirmation pages) for the duration of the host agreement. The host may not modify the snippet, proxy or wrap it in a way that alters its behaviour, or deploy it on properties not covered by the agreement. On termination, the host removes the snippet and the licence ends.

B6. Data protection

Each party complies with applicable data protection law. Details of what the widget processes are in our Privacy Policy and Cookie Policy; processing terms are set out in our Data Processing Addendum.

B7. Liability

[LEGAL REVIEW: liability caps and exclusions — proposed structure: neither party liable for indirect or consequential loss; aggregate liability capped by reference to amounts paid or payable in the preceding 12 months; carve-outs for data protection breaches, IP infringement and wilful misconduct.]

B8. Governing law

These terms, and the standard host agreement, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. [LEGAL REVIEW: confirm governing law and jurisdiction, including for non-UK hosts.]
